PAIR NETWORKS AFFILIATE MARKETING PROGRAM AGREEMENT

1. AGREEMENT: In this Pair Networks Affiliate Marketing Program Agreement, ("Agreement"), "you" and "your" refer to the customer ("Customer") and "we," "us" and "our" refer to Pair Networks, Inc. ("Pair Networks") and "Program" refers to the incentives offered for referring Web hosting customers to us.

2. REFERRAL PROGRAM: Sign-ups. You will be given a personalized click-through code for tracking referrals, along with banner ads and approved text to use. Customers with referrals will be notified monthly through their designated contact. Please note that payments are made based upon qualifying referrals, not just sign-ups.

2a. Qualifying Referrals. Rewards will be earned only for qualifying referrals made during participation in the Program. To be considered a qualifying referral accounts must be legitimate, paying, active for at least 60 days, and signed up under their own unique Billing Account Number. Any referral made to your own account or any reseller account is not a qualifying referral. Also, we have a variety of account types. If the account type of a new account is changed during the first 60 days of paid service, and the new account is otherwise a qualifying referral, the account type of this new account for the purposes of this program will be determined as follows. If the account type is upgraded, the account type of the qualifying referral will be that of the new account when the new account was first created. If the account type is downgraded, the account type of the qualifying referral will be the account type of the downgraded account.

2b. Payments. At the end of each calendar quarter we will determine the number of qualifying referrals you have had during the quarter. Payments due totaling at least $25.00 will be mailed within eighty (80) days of the close of each quarter to your postal address listed on your Web hosting account with us. You may designate the payee of the check, however, the check must be sent to the postal address listed on your Web hosting account with us. It is solely your responsibility to keep your account contact information current. Any payments due totaling less than $25.00 will be carried over to the next quarter. If the payments due you do not total at least $25.00 after eight (8) consecutive quarters, no payment will be made and your qualifying referrals will be reduced to zero (0). 

2c. Payments will be made in US currency. The number or amount of qualifying referrals, payment amounts, and debits for charge-backs, as calculated by us shall be final and binding on you. Payments from this program may not be used as a future credit towards payment for your Web hosting account. We will not make any payments to you if your Web hosting account with us is more than thirty (30) days overdue. If or when we end the program, final payments will be made and any participant with a positive balance will be paid, even if the $25.00 minimum is not met. Any questions (including disputes) regarding payments should be directed in the first instance to affiliate@pair.com. We will work with internal resources, such as finance, legal, and senior management, as necessary to answer your questions.

2d. Charge-backs. We may on our own initiative debit your account with an amount equal to a payment previously credited to your account in circumstances of a: duplicate entry or other clear error; non-bona fide referral; or fraud.

2e. Program Changes and Termination. We may make changes to the program or terminate the program at any time. Should we make changes to the program or terminate the program, we may, in our sole discretion, provide notice of the changes or termination to the e-mail address listed on your Web hosting account with us. Your continued participation in the program shall constitute your acceptance of any such modifications. If you do not agree with the modifications, you may withdraw from the program. If you choose to withdraw from the program, you agree that such withdrawal will be your exclusive remedy.

3. TERMINATION: This Agreement may be terminated by either side at any time upon written notice.

4. MODIFICATION OF THE AGREEMENT: Modifications to this Agreement may be made by us at any time and will be posted to our Web site at least seven (7) days before such modifications go into effect. Your continued participation in the program shall constitute your acceptance of any such modifications. If you do not agree with the modifications, you may choose to withdraw from the program. If you choose to withdraw from the program, you agree that such withdrawal will be your exclusive remedy and no additional payments need be made to you other than for accrued incentives in your account not yet paid.

5. GOVERNING LAW; JURISDICTION: Any disputes hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without reference to rules governing choice of laws. Both parties irrevocably consent to the exclusive subject matter jurisdiction, personal jurisdiction and venue of the courts of the Commonwealth of Pennsylvania, Allegheny County, for all disputes regarding any duties, obligations or rights under or arising out of this Agreement. A party that primarily prevails on an action brought under this Agreement is entitled to recover from the other party its reasonable attorney fees and costs.

6. BINDING ACCEPTANCE: In lieu of your signature, we will accept your completion of the information requested as binding acceptance of the terms of this Agreement.
